These terms govern your use of this website and any consultation, project, or service booked through it ("Services"). By using this site or engaging Sipply Consulting for work, you agree to be bound by these terms. If you do not agree, please do not use this site or book any Services.

Eligibility

By using this site or booking a consultation, you confirm that you are at least 18 years old and have the legal authority to enter into this agreement on your own behalf or on behalf of the business you represent.

Services

Sipply Consulting provides digital marketing consultation and content services, including content strategy, SEO/AEO, CRO & conversion optimisation, website copywriting, market analysis, social & email marketing, and reputation & Google Business Profile management, as described on the services page. Specific scope, deliverables, and pricing for any project are agreed upon separately, typically following a consultation, and may be documented in a separate written agreement or proposal that takes precedence over these general terms for that specific project.

Quote estimates

The quote builder on this site provides a rough, non-binding estimate based on the options you select. It is intended as a starting point for discussion, not a fixed price, invoice, or formal proposal. Displayed ranges may be updated at any time as pricing is refined, and final pricing is confirmed after a consultation and depends on the actual scope of work agreed upon.

Consultations, booking, and payment

Consultations booked through this site are working sessions, not a guarantee of specific outcomes, rankings, traffic, or business results. Bookings are scheduled through Cal.com, a third-party scheduling platform, and payment for consultations is collected in full at the time of booking through Stripe, a third-party payment processor. Sipply Consulting does not directly collect or store your payment card details; this information is handled entirely by Stripe in accordance with its own terms and privacy policy.

Cancellation, rescheduling, and refund terms for booked consultations are set out on the servoce page and its accompanying FAQ, and are incorporated into these terms by reference. By booking a consultation, you agree to those cancellation and refund terms as they appear at the time of booking.

For larger projects outside of a single consultation, payment terms, invoicing schedules, deposit requirements, and any project-specific cancellation terms are agreed upon separately in writing before work begins.

No guaranteed results

Sipply Consulting provides professional marketing advice and services based on experience and available information at the time. Marketing, SEO, and advertising outcomes depend on many factors outside Sipply Consulting's control, including third-party platform policies, search engine algorithm changes, market conditions, and the client's own execution of recommendations. No specific results, rankings, traffic, conversions, or revenue outcomes are guaranteed, express or implied.

Intellectual property

Unless otherwise agreed in writing, ownership of final deliverables (such as written content, strategy documents, or campaign assets) transfers to the client upon full payment for the relevant project or service. Until full payment is received, all deliverables remain the property of Sipply Consulting. Sipply Consulting retains the right to reference completed work in a portfolio, case study, or marketing material unless the client requests otherwise in writing.

Client-provided material

Any content, brand assets, login credentials, or information you provide for a project remains your property. You are solely responsible for ensuring you have the legal right to share this material and to use it in the way described, including any access provided for services such as Google Business Profile management. You agree to indemnify and hold Sipply Consulting harmless from any claim arising from material you provide that infringes on a third party's rights.

Disclaimer of warranties

This site and all Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Sipply Consulting does not warrant that the site will be uninterrupted, error-free, or secure at all times.

Limitation of liability

To the fullest extent permitted by law, Sipply Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from or related to your use of this site or any Services provided, including outcomes resulting from third-party platform changes, review platform policies, payment processor issues, or search engine algorithm changes outside its control. In no event shall Sipply Consulting's total liability for any claim arising from the Services exceed the total amount paid by the client for the specific service giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Sipply Consulting and its owner from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of this site, your breach of these terms, or your violation of any rights of a third party.

Termination

Either party may terminate an ongoing project or engagement in accordance with the terms agreed in the relevant written project agreement. In the absence of a separate written agreement, either party may terminate services with reasonable written notice, and the client remains responsible for payment for work already performed up to the date of termination.

Force majeure

Sipply Consulting is not liable for any failure or delay in performing Services caused by circumstances beyond its reasonable control, including but not limited to natural disasters, internet or utility outages, third-party platform failures (including Cal.com, Stripe, or Web3Forms outages), or other events of force majeure.

Sipply Consulting is not responsible for outages, errors, or data handling practices of these third-party services beyond what is disclosed in this policy and the privacy policy.

Governing law and dispute resolution

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising out of or relating to these terms or the Services shall first be attempted to be resolved informally by contacting Sipply Consulting directly. If a dispute cannot be resolved informally within a reasonable time, the parties agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada.

Severability

If any provision of these terms is found to be unenforceable or invalid under applicable law, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire agreement

These terms, together with the privacy policy and any separate written project agreement or proposal, constitute the entire agreement between you and Sipply Consulting regarding your use of this site and any Services, and supersede any prior discussions, understandings, or agreements, whether written or oral, relating to the same subject matter.

Changes to these terms

These terms may be updated from time to time. The "last updated" date at the top of this page reflects the most recent revision. Continued use of the site after changes are posted means you accept the updated terms.
